Terms and Conditions (T&C)

1. Scope

These General Terms and Conditions (T&C) apply to all contractual relationships between Entnerprises e.U. (hereinafter "Provider") and customers (hereinafter "Customer") regarding the use of the UnterweisungsPortal software (hereinafter "Service"). Deviating, conflicting or supplementary terms and conditions of the Customer shall only become part of the contract if the Provider expressly agrees to their validity.

2. Conclusion of Contract

The contract is concluded by registering for one of the offered pricing plans (Starter, Professional, Business, Enterprise) via the website www.unterweisungsportal.com. By clicking the "Get Started" or "Contact Us" button, the Customer submits a binding offer. The Provider accepts this offer by activating the Customer's account or by providing access data.

Minimum contract term: None. The contract can be terminated monthly.

3. Scope of Services

3.1 Service Provision

The Provider provides the Customer with the UnterweisungsPortal software as Software-as-a-Service (SaaS) via the Internet. The scope of services depends on the selected pricing plan:

Starter Plan (€25/month excl. VAT)

Professional Plan (€50/month excl. VAT)

  • All Starter features
  • 51-100 employees

  • PDF export
  • Priority support

Business Plan (€125/month excl. VAT)

  • All Professional features
  • Up to 3 tenants
  • 101-300 employees
  • Group management
  • Mass assignment
  • API access (REST)
  • Phone support
  • Onboarding session

Enterprise Plan (On Request)

  • All Business features
  • Unlimited tenants
  • Unlimited employees
  • Dedicated account manager
  • SLA guarantee (99.9% uptime)
  • Custom branding
  • On-premise option
  • LDAP/SSO integration
  • Custom features on request

3.2 Availability

Starter, Professional, Business: The Provider strives for an availability of 99% (annual average, best effort). Planned maintenance windows will be announced in advance.

Enterprise: SLA guarantee of 99.9% availability (excluding planned maintenance windows).

4. Prices and Payment

4.1 Prices

The prices are stated on the website www.unterweisungsportal.com and are in Euro (€) net plus applicable VAT. The current prices at the time of contract conclusion apply.

4.2 Payment Terms

Payment is due monthly in advance. The following payment methods are available:

  • SEPA direct debit: Automatic debit
  • Credit card: Visa, Mastercard, American Express
  • Invoice: Only for Enterprise customers by prior arrangement (payment term: 14 days net)

4.3 Price Adjustments

The Provider reserves the right to adjust prices annually with one month's notice. The Customer will be informed of price changes by email. If the Customer does not agree to the price change, they can terminate the contract extraordinarily to the date the price change takes effect.

5. Customer Obligations

The Customer is obligated to:

  • Provide truthful information during registration
  • Keep access data (username, password) secret and secure
  • Use the Service in compliance with applicable laws
  • Not to misuse the Service (e.g., spamming, hacking attempts, distribution of malware)
  • Regularly back up their data (recommended, optional)

6. Availability and Disruptions

The Provider strives to ensure continuous availability of the Service. However, 100% availability cannot be guaranteed due to technical reasons (e.g., maintenance work, force majeure, third-party failures).

7. Liability

7.1 Limitation of Liability

The Provider is liable for damages caused by intent or gross negligence. In the case of slight negligence, liability is limited to the violation of material contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable, contract-typical damage.

7.2 Maximum Liability

The Provider's total liability for damages (except for intent and gross negligence) is limited to the amount of 12 monthly fees paid by the Customer.

7.3 Data Loss

The Provider is not liable for data loss if the Customer has regularly and properly backed up their data (e.g., via PDF export).

8. Termination

8.1 Ordinary Termination

Both parties can terminate the contract monthly to the end of the month. Termination must be in text form (email is sufficient) to: info@unterweisungsportal.com

8.2 Extraordinary Termination

The Provider may terminate the contract extraordinarily without notice if the Customer is in default of payment for more than 14 days after receiving a reminder.

8.3 Data Export After Termination

After termination, the Customer has 30 days to export their data (PDF, ZIP). After this period, the data will be permanently deleted.

9. Data Protection

Data protection is governed by our separate Privacy Policy. Upon request, the Provider will conclude a data processing agreement (DPA) pursuant to Art. 28 GDPR.

10. Final Provisions

10.1 Applicable Law

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10.2 Place of Jurisdiction

The place of jurisdiction is Vienna, Austria, provided the Customer is a merchant, legal entity under public law, or a special fund under public law.

10.3 Severability Clause

Should individual provisions of these T&C be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.

10.4 Amendments

The Provider reserves the right to amend these T&C with 30 days' notice. The Customer will be informed of changes by email. If the Customer does not object to the changes within the notice period, the changes shall be deemed accepted.
